Matthew B. Teadore, CPA, JD, LL.M, is a tax director with CohnReznick Advisory’s Transaction Advisory Services Practice. Matt has over 20 years of experience providing tax due diligence, transaction structuring, tax consulting, tax controversy, and compliance services to both public and privately held companies. He has advised C corporations, S corporations, partnerships, LLCs, and sole proprietorships on a wide variety of federal corporate and partnership tax issues.
Matt’s experience includes structuring taxable and tax-free mergers, acquisitions, and reorganizations for large and small companies, analyzing the tax costs and benefits of stock versus assets transactions and performing tax due diligence reviews of acquisition target entities. His efforts have produced significant savings to his clients by reducing the purchase price of acquisition targets for the amount of potential tax exposures uncovered, as well as reducing taxable gains recognized in the transaction and taxable income recognized after closing through efficient structuring. Matt also has significant experience providing tax consulting services to clients on such issues as limitations on the use net operating losses following an ownership change, executive and stock compensation arrangements, cancellation of debt income, stock distributions and redemptions, partnership basis adjustments and allocations, Employee Stock Ownership Plans (ESOPs), spin-offs, and earnings and profits (E&P) studies, as well as reviewing tax returns and tax provisions for financial statements.
Prior to entering public practice, Matt served as law clerk to a judge on the United States Court of Federal Claims, where he focused on tax cases.
